Terms of Service - Metaplay

1. Agreement to Terms

By accessing or using Metaplay's services, including our SDK, platform, documentation, and website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Metaplay provides a backend platform for building and operating live service games, including:

Metaplay SDK for Unity game development
Game server software and infrastructure
LiveOps dashboard for game management
Cloud deployment automation
Documentation and support resources

3. Account Registration

To use certain features of our Services, you must register for an account. You agree to provide accurate information, maintain the security of your account credentials, and promptly update any changes to your information. You are responsible for all activities that occur under your account.

4. License Grant

4.1 SDK License

Subject to these Terms, Metaplay grants you a limited, non-exclusive, non-transferable license to use the Metaplay SDK to develop and operate games. The SDK is provided as source code, and you may modify it for your internal use.

4.2 Restrictions

You may not:

Redistribute the SDK or its source code to third parties
Use the SDK to create a competing product or service
Remove or alter any proprietary notices
Use the Services for any illegal purpose

5. Your Responsibilities

You are responsible for:

Compliance with all applicable laws and regulations
The content and data in your games built with Metaplay
Obtaining necessary rights to use third-party content
Maintaining appropriate security measures for your deployment
Complying with platform policies (Apple, Google, etc.)

6. Fees and Payment

Certain Services may require payment of fees. Fees are specified in your service agreement or on our pricing page. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing with reasonable notice.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. When you use Metaplay in your own cloud infrastructure, you maintain control of and responsibility for your player data. Metaplay does not have access to your production player data.

8. Intellectual Property

Metaplay retains all rights in the Services, SDK, and related materials. You retain all rights in the games and content you create using our Services.

By using our Services, you grant us a limited license to use your company name and logo in our marketing materials, such as customer lists. You may revoke this license by contacting us.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. METAPLAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METAPLAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Metaplay from any claims, damages, or expenses arising from your use of the Services, your games, your violation of these Terms, or your infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to the Services at any time for violation of these Terms. Upon termination, your license to use the Services ends, but certain provisions (including limitations of liability) survive.

13. Governing Law

These Terms are governed by the laws of Finland without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Helsinki, Finland.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Services. Your continued use of the Services after changes indicates acceptance of the modified Terms.
